Payments & Payout Terms
Payment processing, holds, payouts, commissions, and chargebacks.

These Payments & Payout Terms (the “Payments Terms”) form a legally binding agreement between you and IN SPOT SLU, a company organized under the laws of the Principality of Andorra, with registered office at Carretera d’Engolasters 27A 2-1, Andorra, tax / registration number L-919089-T (“OXLY,” “Company,” “we,” “us,” or “our”).
These Payments Terms govern any payment-related functionality, billing, collection, processing, settlement, payout, hold, reserve, refund, reversal, chargeback, subscription, promotional purchase, and related financial flows made available through the OXLY platform (the “Platform”).
These Payments Terms supplement the Terms of Platform Use and any other applicable policies. In the event of a conflict between these Payments Terms and the general Terms of Platform Use, these Payments Terms control with respect to payment-related matters.
By purchasing a subscription, paying for promotional services, adding a payment method, receiving payouts, enabling booking payments, or otherwise using any payment functionality made available through the Platform, you agree to be bound by these Payments Terms.
1. Scope of Payment Services
The Platform may support one or more of the following payment-related services, depending on the jurisdiction, product configuration, role, feature availability, and integrations enabled by the Company:
- payments by Customers for subscriptions, promotion services, visibility tools, or other digital services provided by the Company;
- payments by Customers for Bookings or underlying Provider services, if and when such functionality is enabled;
- collection, routing, holding, authorization, settlement, or payout of funds through third-party payment providers;
- refunds, credits, reversals, adjustments, reserves, and chargeback handling;
- payout functionality for Providers or other eligible recipients;
- tax, identity, or compliance checks related to payment functionality.
Payment functionality may differ by country, user type, service category, risk level, and payment provider.
2. Third-Party Payment Providers
The Company may use one or more third-party payment processors, acquirers, gateways, banks, wallet providers, KYC/KYB providers, anti-fraud tools, payout providers, or similar third-party services (collectively, “Payment Providers”).
The specific Payment Provider used may depend on jurisdiction, transaction type, card scheme, product flow, risk assessment, or operational considerations.
You acknowledge and agree that:
- payment functionality may be dependent on one or more Payment Providers;
- your use of payment functionality may require acceptance of additional terms imposed by the relevant Payment Provider;
- Payment Providers may independently apply verification, fraud, chargeback, reserve, compliance, or operational rules;
- the Company does not control all decisions, outages, limitations, failures, delays, or restrictions imposed by Payment Providers.
3. Definitions
For the purposes of these Payments Terms:
“Billing User” means any User who makes a payment through the Platform.
“Payout Recipient” means any User eligible to receive funds through the Platform, including a Provider where applicable.
“Booking Payment” means a payment made in relation to a Booking or underlying Provider service.
“Subscription” means any recurring or one-time paid plan, feature package, membership, or digital access right offered by the Company.
“Promotion Service” means any paid visibility, placement, marketing, boosting, advertising, or similar service offered by the Company through the Platform.
“Payout Method” means a bank account, card, wallet, or other payout destination accepted by the Platform or the relevant Payment Provider.
“Payment Method” means any card, bank method, wallet, account-based payment instrument, or other payment method accepted through the Platform.
“Reserve” means an amount temporarily held back, delayed, or segregated to cover refunds, disputes, chargebacks, fraud risk, losses, penalties, or other risk-related exposures.
“Chargeback” means a cardholder dispute, payment reversal, retrieval request, or similar payment reversal process initiated through a card network, bank, or Payment Provider.
4. Current and Future Payment Functionality
At the time these Payments Terms are published, the Platform may support paid functionality for Subscriptions, Promotion Services, and other digital services provided directly by the Company.
Booking-related payment flows between Customers and Providers may be:
- unavailable,
- limited,
- country-dependent,
- category-dependent, or
- introduced later.
Where Booking Payments are not yet enabled, the provisions of these Payments Terms relating to Booking Payments, payout timing, and Provider settlement will apply only if and when such functionality becomes available.
5. Payment Authorization
By submitting a payment through the Platform, you authorize the Company and the relevant Payment Provider to:
- charge your selected Payment Method for the applicable amount;
- verify your Payment Method;
- obtain payment authorization;
- store or tokenize your payment details through PCI-compliant providers;
- process recurring charges where you enroll in a recurring Subscription;
- process delayed, split, partial, corrected, or follow-up charges where permitted by law and these Payments Terms;
- process refunds, reversals, credits, or adjustments where required.
You are responsible for ensuring that your Payment Method is valid, funded, and authorized for the relevant transaction.
6. Pricing, Currency, Taxes, and Disclosure
All prices displayed on the Platform may be shown in the currency selected by the Platform, the User, or the applicable locale. Unless otherwise stated, charges are payable in the currency presented at checkout or at the time of purchase.
You acknowledge that:
- exchange rates, bank fees, card fees, or currency conversion fees may apply and may be imposed by your bank or Payment Provider;
- the Company may display estimated converted prices for convenience only;
- the final charged amount may vary due to exchange-rate movement or third-party fees.
Where required by law, prices, fees, taxes, VAT, IGI, sales tax, or other applicable charges will be disclosed through the Platform, checkout flow, invoice, dashboard, or related documentation.
For Provider services, the Provider remains responsible for the legality and accuracy of any price they set for the underlying service, unless the Platform expressly states otherwise.
7. Company Fees and Commissions
The Company may charge one or more of the following, depending on the feature, jurisdiction, and commercial model:
- subscription fees;
- promotional service fees;
- platform service fees;
- booking-related service fees;
- provider commissions;
- processing or administrative fees where disclosed;
- late recovery, dispute recovery, or chargeback recovery amounts where permitted by law and these Terms.
Applicable fees will be disclosed through the Platform, dashboard, order flow, provider setup flow, checkout, invoice, or fee schedule.
The Company may change fees from time to time in accordance with the applicable legal notice requirements and the Terms of Platform Use.
8. Provider Pricing and Provider Responsibility
Where the Platform allows Providers to offer paid services, the Provider is solely responsible for:
- setting lawful and accurate prices;
- ensuring that their prices include or properly disclose taxes where required by law;
- ensuring that all mandatory charges are properly presented through the Platform where applicable;
- ensuring that no misleading, hidden, or unauthorized fees are imposed.
The Company may restrict, remove, reject, or adjust how a fee is displayed on the Platform if it reasonably believes that the pricing presentation is misleading, unlawful, inconsistent with Platform policy, or harmful to users or Payment Providers.
9. Payment for Subscriptions and Promotion Services
Subscriptions and Promotion Services purchased from the Company are payable according to the terms shown at checkout, in the dashboard, or in the applicable order flow.
Unless otherwise stated:
- Subscription fees may be charged in advance;
- recurring Subscriptions may automatically renew until canceled;
- Promotion Services may be prepaid, usage-based, duration-based, campaign-based, or otherwise structured as disclosed at purchase;
- taxes may be added where required.
You are responsible for canceling a recurring Subscription before the next billing cycle if you do not wish to renew.
Unless required by law or expressly stated otherwise, amounts already charged for a billing period or completed Promotion Service may be non-refundable.
10. Booking Payments
If and when Booking Payments are enabled, the Platform may allow a Customer to pay for an underlying Provider service through the Platform.
In that case:
- the Company may facilitate the collection, routing, holding, settlement, or payout of Booking Payments;
- the exact timing of charge, authorization, hold, capture, settlement, and payout may depend on the applicable Payment Provider, service category, provider settings, cancellation policy, risk profile, and jurisdiction;
- the Payment Provider, acquiring bank, or other financial intermediary may temporarily hold or reserve funds in connection with the Booking Payment.
A Booking Payment does not change the underlying contractual relationship: the underlying service remains between the Customer and the Provider, unless the Platform expressly states otherwise.
11. Payout Eligibility
A User may receive payouts through the Platform only if all applicable requirements are met.
The Company may require a Payout Recipient to provide, complete, or maintain any of the following before payouts are enabled or continued:
- identity information;
- KYC or KYB information;
- tax information;
- legal entity information;
- bank account or payout destination details;
- beneficial ownership information;
- business registration documentation;
- licensing or compliance documents where relevant;
- any other information reasonably required by the Company, the Payment Provider, or applicable law.
The Company may refuse, delay, limit, or disable payout access if such information is missing, inconsistent, expired, unverifiable, or otherwise insufficient.
12. Payout Timing
Where payouts are enabled, the timing of any payout may depend on:
- the type of transaction;
- the type of service;
- the Provider’s verification status;
- the applicable Payment Provider;
- fraud or compliance checks;
- refund windows;
- disputes, complaints, or chargebacks;
- bank processing timelines;
- holidays, weekends, or technical delays;
- the Company’s risk review.
Any payout date shown in the Platform is an estimate only unless expressly stated otherwise.
The Company does not guarantee that payouts will be made by a specific deadline, except to the extent mandatory law requires otherwise.
13. Holds, Reserves, Delays, Offsets, and Withholding
To the maximum extent permitted by law, the Company may place or instruct the placement of holds, reserves, payout delays, temporary restrictions, offsets, or withholdings where reasonably necessary to:
- investigate fraud, abuse, or suspected unauthorized activity;
- address complaints, disputes, or Booking issues;
- process or protect against refunds, reversals, or Chargebacks;
- protect Customers or Payment Providers;
- comply with applicable law, sanctions, anti-money laundering rules, or regulatory requirements;
- respond to prohibited services or policy violations;
- cover fees, penalties, fines, taxes, losses, or recoverable amounts;
- mitigate elevated operational, financial, reputational, or payment risk.
The Company may also offset amounts otherwise payable to a User against amounts owed by that User to the Company, to Customers, to Payment Providers, or in connection with chargebacks, refunds, penalties, or recoveries.
14. Refunds
Refund rights, if any, may depend on:
- the type of product purchased;
- whether the payment relates to a Subscription, Promotion Service, or Booking Payment;
- the applicable cancellation policy;
- the stage of performance;
- technical error, duplicate payment, fraud, or unauthorized use;
- mandatory consumer law.
Unless otherwise stated:
- Subscription and Promotion Service refunds are governed by the specific purchase terms shown at checkout and by applicable law;
- Booking-related refunds are governed by the Booking, Cancellation & Refund Policy, where enabled;
- the Company may issue full, partial, delayed, conditional, or no refund depending on the circumstances and the applicable policy.
Refunds, if approved, may be processed to the original Payment Method or by another method chosen by the Company or Payment Provider where permitted.
15. Reversals and Chargebacks
If a payment is reversed, disputed, charged back, clawed back, or otherwise not successfully settled, the Company may, to the maximum extent permitted by law:
- recover the relevant amount from the responsible User;
- deduct the amount from current or future payouts;
- suspend or limit the Account or payment functionality;
- place a Reserve or payout hold;
- pass through or recover bank, processor, card-scheme, or administrative costs associated with the Chargeback or reversal;
- require additional verification or supporting documents.
A Provider remains financially responsible for Chargebacks, reversals, fraud losses, or refund obligations arising from the Provider’s conduct, services, prohibited activity, policy breach, misleading pricing, or unlawful service category, to the extent permitted by law and the applicable policy framework.
16. Failed, Rejected, or Incomplete Payments
If a payment cannot be authorized, captured, settled, or completed, the Company may:
- cancel or refuse the transaction;
- suspend access to the relevant service or Subscription;
- request an alternative Payment Method;
- retry the charge where permitted;
- reverse any provisional access or benefit granted;
- take any other reasonable operational step.
The Company is not liable for the consequences of a failed payment caused by bank refusal, Payment Provider refusal, card expiration, insufficient funds, fraud screening, sanctions screening, technical issues, or inaccurate payment information.
17. Prohibited Payment Conduct
You must not use the Platform’s payment functionality to:
- process payments related to prohibited services;
- disguise the nature of a transaction;
- evade taxes, reporting obligations, or payment-provider rules;
- submit stolen, unauthorized, or fraudulent payment methods;
- manipulate refunds, disputes, chargebacks, or duplicate transactions;
- route or solicit payments outside approved channels where Platform rules require in-platform payment;
- misuse another person’s payout credentials or bank details;
- use the Platform for money laundering, terrorist financing, sanctions evasion, or any other unlawful financial activity.
The Company may investigate any suspected prohibited payment conduct and may act immediately where reasonably necessary.
18. Payment Security and Fraud Monitoring
The Company and its Payment Providers may use automated and manual systems to monitor payment activity for fraud, abuse, sanctions risk, compliance concerns, unusual transaction patterns, prohibited categories, or operational risk.
You authorize the Company and its service providers to collect, review, analyze, and share information reasonably necessary for such purposes, subject to applicable law and the Privacy Policy.
Fraud-prevention decisions may result in declined payments, delayed payouts, increased verification, temporary holds, or account restrictions.
19. Enforcement Rights in Payment Matters
Without limiting any broader right under the Terms of Platform Use, the Company may, where reasonably necessary and to the maximum extent permitted by law:
- remove a paid listing, campaign, profile, or service card;
- suspend or terminate access to payment functionality;
- freeze, delay, reserve, offset, or withhold payouts;
- cancel payment-enabled features;
- issue refunds to Customers in accordance with the applicable policy;
- recover processor penalties, chargeback losses, fines, or platform losses from the responsible User;
- immediately suspend or terminate a Provider or other User involved in prohibited services, fraud, abuse, or serious payment risk.
Where reasonably practicable, the Company may issue a warning first. However, immediate action may be taken without prior notice where legal compliance, consumer protection, fraud prevention, safety, prohibited services, payment-provider requirements, or urgent Platform risk so require.
20. Dependency on Payment Providers and Banking Systems
The Company does not guarantee uninterrupted availability of payment services.
Payment functionality may be affected by:
- Payment Provider outages;
- bank processing delays;
- card network rules;
- sanctions or compliance reviews;
- fraud screening;
- country restrictions;
- technical maintenance;
- rejected onboarding or payout setup;
- account mismatch or verification failures.
The Company is not liable for delays, failures, or restrictions caused by third-party Payment Providers or banking systems, except to the extent mandatory law provides otherwise.
21. No Warranty for Payment Services
To the maximum extent permitted by law, payment functionality is provided on an “as available” basis.
The Company does not warrant that:
- any payment will be successfully processed;
- any payout will arrive within a specific timeframe;
- any payment method or payout method will remain available;
- any transaction will be free from review, reserve, reversal, or Chargeback risk;
- any Payment Provider will accept, settle, or continue supporting a transaction, category, country, or User.
22. Liability
The limitation of liability set out in the Terms of Platform Use applies equally to these Payments Terms.
Without limiting that general clause, the Company shall not be liable, to the maximum extent permitted by law, for losses arising from:
- failed or delayed payments;
- failed or delayed payouts;
- Chargebacks or reversals initiated by third parties;
- Payment Provider decisions;
- bank errors, outages, or refusals;
- currency conversion differences;
- tax treatment determined by authorities;
- holds, reserves, or payment restrictions reasonably imposed under these Payments Terms.
23. User Responsibility for Taxes
Each User is solely responsible for determining and fulfilling their own tax obligations arising from transactions conducted through the Platform, unless mandatory law expressly imposes a different obligation on the Company.
Where required by law, the Company or a Payment Provider may:
- collect tax or tax-related information;
- report transactions;
- issue tax documents;
- withhold amounts;
- request tax registration numbers or similar identifiers.
Failure to provide required tax information may result in payout delays, payout suspension, or account restrictions.
24. Changes to Payment Features and Terms
The Company may add, remove, suspend, or modify payment features, billing models, fee logic, payout structures, available Payment Methods, or Payment Providers at any time.
The Company may also update these Payments Terms from time to time. If material changes are made, the Company may provide notice by posting updated terms on the Platform, by email, by in-app notice, or by another reasonable method.
Continued use of payment functionality after the effective date of updated Payments Terms constitutes acceptance of the revised version.
25. Governing Law and Jurisdiction
These Payments Terms are governed by and shall be interpreted in accordance with the laws of the Principality of Andorra, without regard to conflict-of-law principles.
Any dispute arising out of or in connection with these Payments Terms shall be submitted to the competent courts of Andorra, unless mandatory consumer protection law requires otherwise.
