Promotions, Coupons & Referral Terms
Promo codes, discounts, referrals, anti-fraud rules, and withdrawal rights.

These Promotions, Coupons & Referral Terms (the “Promo Terms”) form part of the contractual framework governing the use of the OXLY platform (the “Platform”) operated by IN SPOT SLU, a company organized under the laws of the Principality of Andorra, with registered office at Carretera d’Engolasters 27A 2-1, Andorra, tax / registration number L-919089-T (“OXLY,” “Company,” “we,” “us,” or “our”).
These Promo Terms apply to all promotional codes, coupons, discounts, referral programs, credits, bonuses, incentives, trial offers, invite campaigns, reward campaigns, and other promotional benefits made available by or through the Platform (collectively, “Promotions”).
These Promo Terms supplement the Terms of Platform Use, the Payments & Payout Terms, the Fees & Pricing Transparency Policy, the Acceptable Use & Prohibited Activities Policy, and any campaign-specific terms shown on the Platform. If there is a conflict between these Promo Terms and a campaign-specific rule clearly shown at the time of the relevant offer, the campaign-specific rule will control for that Promotion to the extent permitted by law.
By redeeming, claiming, using, sharing, applying for, or otherwise participating in any Promotion, you agree to these Promo Terms.
1. Purpose of These Terms
The purpose of these Promo Terms is to explain:
- what kinds of Promotions the Platform may offer;
- how Promotions may be used;
- who is eligible to receive them;
- what restrictions apply to coupons, discounts, referrals, and credits;
- what conduct is prohibited;
- when the Company may revoke, cancel, withhold, adjust, or refuse a Promotion;
- what happens in case of fraud, abuse, error, or cancellation.
2. Definitions
For the purposes of these Promo Terms:
“Coupon” means a one-time or limited-use code, discount token, promotional identifier, or similar benefit that can be applied to an eligible transaction on the Platform.
“Discount” means a reduction in price, fee, or payable amount offered by the Company or through the Platform.
“Referral Program” means any program that allows one user to invite another user in exchange for a potential reward, benefit, coupon, credit, discount, or similar incentive.
“Referral Reward” means any benefit granted to a referring user, a referred user, or both, under a Referral Program.
“Credit” means any non-cash promotional value, balance, or booking credit issued by the Company that may be redeemable toward eligible transactions on the Platform.
“Promotion” means any Coupon, Credit, Discount, Referral Reward, invite incentive, limited-time offer, trial benefit, loyalty incentive, or other promotional mechanism.
“Eligible Transaction” means a transaction that qualifies for the relevant Promotion under the terms shown for that Promotion.
“Referrer” means the user who shares or sends a referral invitation or referral link.
“Referred User” means a new or qualifying user who uses a referral link, invitation, or code.
3. Types of Promotions
The Company may offer one or more of the following, depending on jurisdiction, product, user segment, category, and campaign structure:
- sign-up offers;
- first-booking discounts;
- category-specific discounts;
- service-specific offers;
- promotional coupons;
- platform credits;
- goodwill credits;
- referral rewards;
- provider acquisition incentives;
- provider reactivation incentives;
- subscription trial offers;
- promotional visibility credits;
- loyalty or retention offers;
- limited-time campaign offers;
- country-specific or category-specific offers.
The Company is not required to make Promotions available to all users, all countries, all categories, or all transactions.
4. General Nature of Promotions
Unless expressly stated otherwise:
- Promotions are optional marketing incentives offered by the Company;
- Promotions have no cash value;
- Promotions are not bank products, stored value products, e-money products, or gift cards unless the Company expressly states otherwise;
- Promotions are personal, limited, revocable, and conditional;
- Promotions may be subject to expiration, eligibility checks, category restrictions, usage limits, and anti-fraud controls.
A Promotion does not create a vested right, property right, or guaranteed future entitlement.
5. Eligibility
Eligibility for a Promotion may depend on one or more conditions, including without limitation:
- account status;
- country or jurisdiction;
- user type;
- whether the user is new or existing;
- whether the user has completed a qualifying action;
- booking value or purchase threshold;
- category of service;
- payment method;
- campaign dates;
- account verification status;
- fraud and abuse screening;
- compliance with Platform policies.
The Company may determine eligibility in its sole discretion, subject to applicable law and any mandatory consumer rules.
6. Coupon and Discount Rules
Unless the relevant Promotion expressly states otherwise:
- a Coupon may be used only once;
- a Coupon may be limited to one account, one user, one household, one device, one payment method, or one eligible transaction;
- a Coupon may apply only to specific services, categories, bookings, subscription plans, or promotional products;
- a Coupon must be entered or applied during the relevant checkout or booking flow if the Platform requires that;
- a Coupon cannot be applied retroactively to a past purchase, completed booking, or already-paid invoice;
- a Coupon may not be combined with another offer, credit, discount, or reward unless the Platform expressly allows that combination;
- a Coupon is non-refundable and non-transferable;
- a Coupon cannot be redeemed for cash, cash equivalent, payout, or withdrawal value.
If a Coupon is not properly entered or applied at the required time, the user may lose the benefit of that Coupon unless the Platform or campaign-specific terms expressly provide otherwise.
7. Credits
The Company may issue promotional Credits in connection with referral programs, customer support, goodwill gestures, marketing campaigns, or other promotional programs.
Unless otherwise stated:
- Credits may be used only toward eligible transactions on the Platform;
- Credits are non-transferable;
- Credits are non-refundable;
- Credits cannot be exchanged for cash;
- Credits cannot be used for transactions that are excluded by the relevant campaign terms;
- Credits may expire on the date specified by the Company or as otherwise communicated through the Platform.
The Company may apply Credits automatically, manually, or conditionally depending on the relevant flow.
8. Referral Programs
The Company may operate one or more Referral Programs for Customers, Providers, or other users.
A Referral Program may require, for example:
- that the Referrer be an existing registered user in good standing;
- that the Referred User be a new or otherwise qualifying user;
- that the Referred User use a valid referral link, invite, or code;
- that the Referred User complete a qualifying sign-up, booking, purchase, or other required action;
- that the qualifying action occur within a specified time period;
- that fraud, duplicate-account, and abuse checks be passed.
A referral invitation does not guarantee that any Referral Reward will be granted.
9. Referral Reward Conditions
Unless otherwise stated in campaign-specific terms:
- a Referral Reward is earned only after the Referred User completes the qualifying action defined by the Company;
- the qualifying action must be genuine, fully completed, and not later canceled, reversed, refunded, charged back, or deemed abusive;
- the Company may set caps on the number of referral rewards per user, per campaign, per period, or per account;
- the Company may limit referral rewards by country, service category, business category, or payment status;
- Referral Rewards may be delayed pending fraud, compliance, or operational review.
The Company may refuse or reverse a Referral Reward if the Company reasonably believes the referral activity was not genuine or did not meet campaign requirements.
10. New User and Existing User Rules
The Company may define who counts as a “new user,” “existing user,” “returning user,” “reactivated user,” or “eligible user” for a Promotion.
Unless otherwise stated, a user may be treated as ineligible for a “new user” Promotion if the Company reasonably believes that the user:
- previously created an account;
- previously completed a booking or purchase;
- previously received a similar Promotion;
- is associated with another account that already used the same Promotion;
- is using duplicate identities, payment methods, devices, households, or technical signals inconsistent with genuine new-user status.
The Company’s determination of new-user or existing-user status may take into account account history, device data, payment instruments, referral patterns, technical identifiers, and other anti-fraud indicators.
11. Expiration and Validity Periods
Promotions may have a start date, end date, redemption window, usage deadline, or expiration date.
Unless the relevant Promotion expressly states otherwise:
- an expired Promotion is void;
- an unused Promotion is forfeited after expiration;
- the Company has no obligation to extend, replace, reissue, or compensate for an expired Promotion.
The Company may, but is not required to, restore a Promotion where cancellation or technical error is attributable to the Company or where a campaign-specific rule expressly provides for restoration.
12. Booking Cancellations and Promo Treatment
If a Promotion is used in connection with a Booking or service purchase that is later canceled, the treatment of the Promotion may depend on:
- the reason for cancellation;
- who canceled;
- the applicable booking or cancellation policy;
- the type of Promotion;
- whether the Promotion has expired;
- whether the Promotion was single-use or reusable under the specific campaign terms.
Unless otherwise stated:
- the Company may choose to restore a Promotion if the cancellation is attributable to the Company, a system issue, or another reason recognized in the relevant campaign terms;
- the Company may decline to restore a Promotion if the cancellation was initiated by the user, was abusive, or falls outside the applicable restoration rules;
- a Promotion may be consumed upon redemption even if the associated transaction later changes, unless the relevant rules state otherwise.
13. Promotions on Subscription and Promotion Services
The Company may offer Promotions in connection with:
- subscriptions;
- trial periods;
- visibility upgrades;
- paid provider tools;
- promotion services;
- featured listings;
- marketing campaigns.
Unless the campaign-specific terms state otherwise:
- a discounted first billing cycle does not guarantee a discounted renewal price;
- trial access may automatically convert into a paid plan if the user does not cancel before the stated deadline and the applicable flow clearly disclosed such conversion;
- provider-side promotional incentives do not guarantee leads, conversions, bookings, or revenue;
- discounts on Company-provided promotional tools do not change the underlying rules applicable to those tools.
14. Abuse, Fraud, and Anti-Manipulation Rules
Users must not misuse Promotions.
Prohibited conduct includes, without limitation:
- creating duplicate accounts to obtain multiple Promotions;
- using fake identities or false information;
- self-referral;
- referring yourself through another account;
- referring members of the same household, business, or team in a deceptive or abusive way contrary to campaign rules;
- creating fake bookings or fake transactions to trigger a reward;
- using stolen payment methods;
- abusing refunds, cancellations, or chargebacks to preserve or multiply promotional value;
- using scripts, bots, or automation to claim or distribute Promotions;
- selling, trading, transferring, or brokering Coupons or Credits without authorization;
- publicly posting codes where campaign rules prohibit it;
- combining offers contrary to their stated rules;
- disguising commercial abuse as normal referral activity;
- using Promotions in connection with prohibited services or prohibited transactions;
- any conduct that, in the Company’s reasonable judgment, is abusive, deceptive, manipulative, or inconsistent with the purpose of the Promotion.
15. Right to Refuse, Revoke, Adjust, or Cancel Promotions
The Company reserves the right, to the maximum extent permitted by law, to:
- refuse to issue a Promotion;
- refuse redemption of a Promotion;
- cancel, revoke, invalidate, or deactivate a Promotion;
- adjust the value of a Promotion;
- reverse a previously granted Promotion;
- suspend or end a Referral Program;
- change eligibility rules;
- modify campaign structure, thresholds, caps, or categories;
- withhold a Promotion pending fraud, risk, compliance, or operational review.
The Company may take such action where it reasonably believes that:
- the user is ineligible;
- the Promotion was obtained through abuse, fraud, or technical manipulation;
- the transaction was not genuine;
- the transaction was reversed, refunded, or charged back;
- a pricing or technical error occurred;
- legal, regulatory, payment-provider, or operational reasons require the action;
- the Promotion is being used in connection with prohibited services or conduct.
16. Technical Errors and Pricing Mistakes
The Company is not required to honor a Promotion where a technical issue, coding error, system bug, display error, or administrative mistake caused:
- the wrong promotional value to be shown;
- an unauthorized stack of discounts;
- application of a Promotion to an ineligible category or transaction;
- issuance of a reward in error;
- publication of campaign terms that are obviously incomplete or mistaken.
The Company may correct the error, cancel the Promotion, reverse the benefit, or take another reasonable corrective measure.
17. Taxes and Reporting
Users remain responsible for their own tax obligations arising from Promotions, Referral Rewards, or Credits, except where mandatory law expressly provides otherwise.
Where required by law, the Company or its service providers may:
- collect tax information;
- report referral or promotional benefits;
- issue tax documentation;
- withhold amounts;
- request identification or verification before granting or releasing a reward.
Failure to provide required tax or identity information may result in delay, withholding, cancellation, or forfeiture of a Promotion or Referral Reward.
18. No Cash Value; No Transfer
Unless the Company expressly states otherwise in writing:
- Promotions have no cash value;
- Promotions cannot be redeemed for cash;
- Promotions cannot be transferred, sold, assigned, pledged, or monetized;
- Promotions cannot be withdrawn to a bank account or payout method;
- Promotions cannot be applied to prior purchases.
Any attempted transfer, sale, or monetization may render the Promotion void.
19. Interaction With Other Terms
Promotions remain subject to:
- booking rules;
- cancellation rules;
- payment processing rules;
- fees and pricing rules;
- prohibited activity rules;
- trust and safety review;
- fraud review;
- verification and eligibility requirements.
A Promotion does not override the Company’s rights under any other policy to:
- suspend an account;
- remove a listing;
- block payment functionality;
- delay or withhold payouts;
- cancel an order or Booking;
- reverse improperly granted benefits.
20. Monitoring and Investigation
The Company may monitor promotional activity, including referral activity, redemption patterns, coupon usage, account relationships, device signals, payment instruments, booking behavior, and related technical or transactional indicators.
The Company may investigate suspected violations of these Promo Terms and may request documents, clarifications, or explanations from users.
Users are expected to cooperate in good faith with such reviews. Failure to cooperate may affect eligibility or result in loss of promotional benefits.
21. Enforcement
Where the Company reasonably believes that a user has violated these Promo Terms, the Company may take one or more actions, including without limitation:
- issuing a warning;
- canceling or voiding a Promotion;
- removing or reversing Credits;
- denying a Referral Reward;
- restricting participation in promotional campaigns;
- removing discount eligibility;
- restricting payment, booking, or referral functionality;
- freezing, reserving, offsetting, or withholding payouts where permitted by law and applicable payment terms;
- suspending or terminating the relevant account;
- blocking future participation in Promotions.
Where reasonably practicable, the Company will generally seek to issue a warning first. However, immediate action may be taken where the Company reasonably considers it necessary because of fraud, abuse, technical manipulation, prohibited services, payment risk, legal compliance, or urgent operational reasons.
22. No Warranty and No Guarantee
To the maximum extent permitted by law, the Company does not warrant or guarantee that:
- any user will qualify for a Promotion;
- any Coupon or Credit will remain available;
- any Referral Program will continue for a minimum period;
- any Promotion will be honored if obtained through error or abuse;
- any Promotion will be compatible with every payment flow, service category, or jurisdiction;
- any Promotion will produce a specific economic outcome.
Promotions are offered on a conditional and revocable basis.
23. Appeals
If a Promotion, Credit, Coupon, Referral Reward, or campaign benefit is denied, revoked, canceled, adjusted, or withheld, the affected user may request review or appeal through the process made available by the Company.
Submitting an appeal does not guarantee reversal. The Company may uphold, modify, or reverse its original decision in its sole discretion, subject to applicable law.
24. Changes to These Promo Terms
The Company may update these Promo Terms from time to time.
If material changes are made, the Company may notify users by:
- posting the updated version on the Platform;
- updating the Effective Date or Last Updated date;
- email notice;
- in-app notice;
- account notice; or
- another reasonable communication method.
Continued use of the Platform after the effective date of the revised Promo Terms constitutes acceptance of the updated version.
25. Governing Law and Jurisdiction
These Promo Terms are governed by and shall be interpreted in accordance with the laws of the Principality of Andorra, without regard to conflict-of-law principles.
Any dispute arising out of or in connection with these Promo Terms shall be submitted to the competent courts of Andorra, unless mandatory consumer protection law requires otherwise.
